Breach of Contract Lawyers in Dubai

A breach of contract happens when a party fails to do what it agreed, does it late, or does it badly. In the UAE a valid contract binds both sides, and the injured party can ask the court to enforce it, cancel it, or award compensation. The first decision is which of these you actually want.

A trading company has paid 60 percent upfront for equipment that was due six weeks ago. The seller now says delivery needs another deposit. The buyer is calling us from a car park, unsure whether to pay, cancel or keep waiting.A representative scene, not a reported case.

01Breach of Commercial Contract

A commercial breach is any failure to meet a term of a business agreement without a lawful excuse. It can be total, such as non-delivery, or partial, such as defective or late performance.

Not every breach justifies ending the contract. Courts look at how serious the failure is and whether the injured party gave proper notice. We read the clauses on notice, cure periods and termination before advising whether to enforce, cancel or negotiate.

02Failure to Perform Contractual Obligations

Non-performance means the other side has not done something it promised. The remedy depends on what you need. Specific performance asks the court to compel the obligation. Cancellation lets you exit and recover what you paid. Compensation covers the loss either way.

Under the Civil Transactions Law the party seeking cancellation or enforcement is generally expected to serve a formal notice first. A notary-issued legal notice is the usual method because it proves the date and the content. It also starts the clock on any cure period the contract gives.

03Wrongful Contract Termination

Termination is wrongful when a party ends the contract without the right to do so, or without following the procedure the contract sets. It exposes the terminating party to a compensation claim.

Two things matter. Did the contract give a termination right, and did the terminating party use it correctly? We check the notice period, the required form, and whether the stated reason was true and documented. If you have received a termination letter, do not respond until we have read it. Your reply can waive rights.

04Contract Cancellation Disputes

Cancellation disputes arise when one side treats the contract as cancelled and the other insists it still stands, often because deposits or goods have already changed hands.

The practical issue is restitution: who gives back what. We list payments, deliveries and expenses on both sides and prepare a net position. This is also where we look at whether circumstances beyond either party's control, such as impossibility of performance, change the analysis.

05Contractual Penalty & Liquidated Damages Disputes

Many contracts fix a penalty or liquidated damages for delay or breach. In the UAE the court can reduce or, where there was no real loss, set aside an agreed figure so that it reflects the actual damage.

That cuts both ways. If you are claiming, you still need to show some loss. If you are defending, an inflated figure is open to challenge. The strongest position is evidence of what the breach actually cost. See also construction liquidated damages claims, where these clauses are common.

06Compensation for Breach of Contract

Compensation is the money award that covers the loss caused by the breach. It is normally limited to loss that is real, proven and directly caused.

Clients often overlook mitigation. A party that could reasonably have reduced its loss and did not may see its claim reduced. We structure the claim around direct cost, documented lost income and interest where it is available, and we say which heads are weak before filing.

Questions we are asked

Can I terminate immediately if the other side breached?

Only if the contract or the law allows it. In many cases a formal notice and a chance to cure come first. Terminating without that can make you the party in breach.

What if the contract has an arbitration clause?

A court claim can be challenged on that basis. We review the clause, the seat and the rules before filing anywhere.

Can a court change a penalty clause?

Yes. UAE courts can adjust agreed compensation so that it matches the real loss. It is not automatically enforced at face value.
