Commercial Agency, Franchise and Distribution Dispute Lawyers in Dubai

Agency and distribution relationships in the UAE are often long, exclusive and heavily invested. When a principal terminates, the agent has built a market and a business around that brand. Registered commercial agencies are protected by a specific federal law, and franchises and distributorships turn largely on the contract.

A distributor has spent twelve years building a brand's market share in the UAE, with warehouses, staff and showrooms. A one-line email from the manufacturer ends the relationship, effective at the end of the month, and announces a new distributor.A representative scene, not a reported case.

01Commercial Agency Termination Disputes

A registered commercial agency is regulated by the Commercial Agencies Law, Federal Law No. 18 of 1981, as amended. A principal generally cannot end the agency or decline to renew it without a lawful reason, and disputes can go to the Commercial Agencies Committee at the Ministry of Economy and then the courts.

Registration status is the first question. We check whether the agency is registered, the date, the territory and the principal. If it is not registered, the claim moves into general contract law.

02Commercial Agent Compensation Claims

An agent whose agency is ended without a valid reason can claim compensation for the loss suffered. The loss is usually based on investment in the market, lost profit and goodwill built for the principal.

The evidence is trading history: sales figures, marketing spend, stock held, staff and premises committed. We prepare the financial case with the accounts before the first filing.

03Distribution Agreement Breaches

Distribution disputes concern minimum purchase targets, pricing rules, supply obligations, territorial limits and what happens to stock at exit. Breach can be on either side, and often both.

A distributor who missed targets is not necessarily in breach if the principal failed to supply. We map each party's obligations in sequence and show which failure came first.

04Exclusive Distribution Disputes

Exclusivity means the principal may not appoint anyone else in the territory, and sometimes that the distributor may not carry competing lines. Disputes arise from parallel imports, sub-distributors and online sales.

We look at the exact wording of the exclusivity clause and any carve-outs. A tight clause can be enforced firmly. A loose one invites argument.

05Franchise Agreement Disputes

In our understanding the UAE has no single federal franchise statute that governs these relationships, so disputes are resolved through the franchise agreement and the general law of contract. That makes drafting, notices and fee mechanics central.

Typical disputes concern royalty calculations, brand standards, territory, termination and post-termination restrictions. See also breach of contract litigation for the general remedies.

Questions we are asked

Is an unregistered agent protected?

Not by the Commercial Agencies Law. The claim then depends on the contract and general law. We assess both.

Where is an agency dispute heard?

Registered agencies have a specific process through the Ministry of Economy committee before or alongside the courts. We confirm the route for your facts.

What happens to my stock after termination?

That depends on the contract. If it is silent, we negotiate or seek a court order dealing with stock and receivables.
