What does exclusivity actually cover?
It depends on the wording: products, channels, territory and duration. Carve-outs for existing customers or online sales are common. A tight clause can be enforced firmly. A loose one invites argument.
What if the principal sells directly?
Direct sales into an exclusive territory can breach the agreement. We examine invoices, tenders and websites to show the activity. Evidence collection must be careful and lawful.
What about parallel imports?
Goods entering through other channels can undermine an exclusive distributor. Remedies against the principal depend on its involvement. Against third parties, other rules apply. See distribution breaches.
