When can dissolution be ordered?
On grounds in the law and the constitutional documents: for instance impossibility of the company's purpose, serious breach, or deadlock that cannot be resolved. A court-ordered end is slow and costly. We examine alternatives first.
What happens in liquidation?
A liquidator is appointed, assets are realised, creditors are paid and any surplus distributed to partners. Ongoing contracts, staff and licences need decisions. Tax and regulatory filings must be closed correctly.
How do we protect value?
A negotiated exit or sale of the business often returns more than a forced winding up. Where dissolution is right, we prepare for creditor claims and for the treatment of customer contracts. See buyouts.
