What does a breach look like?
Related-party contracts at inflated rates, payments to the director's own firm, taking a customer or project from the company, or approving transactions without disclosure. Individually small payments can add up to a pattern.
How is it proved?
By a schedule of transactions showing date, amount, approver and beneficiary, backed by bank records and contracts. Without that schedule, a claim stays an accusation. We build it before any confrontation.
Who can sue and for what?
The company, and in defined circumstances shareholders on its behalf. Remedies include recovery of the amounts, damages and removal. Where assets have been taken there may also be a criminal complaint. See misuse of company assets.

Does a director owe duties to individual shareholders?
Primarily to the company. Shareholders may have claims in defined situations. We check which applies.
Can the company ratify a breach?
In some cases, with proper disclosure and approval. Secret ratification does not cure a breach.
